Welcome to NovaReach. These Terms and Conditions (“Terms”) govern your access to and use of the NovaReach website, services, and platform (together, the “Platform”), operated by [Company Legal Name] (“NovaReach,” “we,” “us,” or “our”). 1. About NovaReach

Freelancers offer services such as social media management, content creation, SEO, paid advertising, email marketing, branding, and related digital marketing work.

NovaReach provides the tools and space for these connections. Unless we state otherwise in writing, NovaReach is not a party to the work agreements between Clients and Freelancers.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years old, or the age of legal majority in your jurisdiction.
  • Have the legal authority to enter into a binding agreement.
  • Provide accurate, current, and complete information during registration.
  • If registering on behalf of a business, have the authority to bind that business to these Terms.

3. Your Account

  • You are responsible for keeping your login credentials confidential.
  • You are responsible for all activity that happens under your account.

  • Each person or business may hold only one account unless we approve otherwise.
  • We may suspend or terminate accounts that contain false information or violate these Terms.

4. Roles and Responsibilities

4.1 Freelancers

As a Freelancer, you agree to:

  • Represent your skills, experience, portfolio, and credentials honestly.
  • Deliver work on time and to the standard agreed with the Client.
  • Submit only original work, or work you have the right to use and transfer.
  • Communicate professionally and promptly through the Platform.
  • Handle your own taxes, insurance, and legal obligations. Freelancers are independent contractors, not employees, agents, or partners of NovaReach or the Client.

4.2 Clients

As a Client, you agree to:

  • Provide clear project briefs, assets, and feedback in a timely manner.
  • Pay agreed fees on time and in full.
  • Treat Freelancers respectfully and fairly.
  • Not request illegal, misleading, or unethical work.

5. Projects, Contracts, and Communication

  • Clients and Freelancers agree on scope, deliverables, timelines, and pricing before work begins.
  • We strongly recommend keeping all communication, files, and agreements on the Platform. This protects both parties and helps us assist in the event of a dispute.
  • Any changes to scope or price should be confirmed in writing by both parties.

6. Fees, Payments, and Refunds

  • Platform Fees: NovaReach may charge service fees to Freelancers, Clients, or both. Current fees are displayed on our [Pricing page/link] and may be updated with reasonable notice.
  • Payments: Payments are processed through third-party payment providers. By using the Platform, you also agree to their terms.
  • Escrow/Milestones (if applicable): Funds may be held securely until the Client approves the delivered work or milestone.
  • Refunds: Refund eligibility depends on the project stage, work delivered, and the agreement between both parties. Refund requests must be submitted within [X] days of delivery through the Platform. NovaReach may review and decide refund disputes in good faith.
  • Taxes: All fees are exclusive of applicable taxes, such as GST or VAT, unless stated otherwise.
  • Off-Platform Payments: Taking payments outside NovaReach to avoid fees for projects that began on the Platform is a breach of these Terms.

7. Intellectual Property

  • Client Ownership: Unless otherwise agreed in writing, ownership of final deliverables transfers to the Client once full payment is received.
  • Freelancer Portfolio Rights: Freelancers may showcase completed work in their portfolios unless the Client requests confidentiality in writing.
  • Third-Party Materials: Freelancers must not use copyrighted images, fonts, music, or other materials without proper licenses.
  • NovaReach Property: The NovaReach name, logo, design, software, and content are our property or our licensors’ property. You may not copy, modify, or distribute them without written permission.

8. Confidentiality

Both Clients and Freelancers agree to keep confidential any non-public business information, strategies, credentials, or data shared during a project, and to use it only for the purpose of completing that project.

9. Acceptable Use

You agree not to:

  • Post false, misleading, or fraudulent information, including fake reviews or inflated metrics.
  • Offer or request services that involve spam, deceptive advertising, or illegal activity.
  • Harass, discriminate against, or threaten other users.
  • Upload viruses, malware, or harmful code.
  • Scrape, copy, or collect data from the Platform without permission.
  • Attempt to bypass our security, fees, or verification systems.
  • Impersonate another person or business.

10. Reviews and User Content

  • You retain ownership of content you post on the Platform (profiles, portfolios, reviews, messages).
  • By posting, you grant NovaReach a non-exclusive, worldwide, royalty-free license to display and use that content to operate and promote the Platform.
  • Reviews must be honest and based on real experiences. We may remove content that is abusive, false, or violates these Terms.

11. Dispute Resolution Between Users

If a disagreement arises between a Client and a Freelancer:

  1. Try to resolve it directly through Platform messaging first.
  2. If unresolved, contact our support team at [Support Email] with relevant details and evidence.
  3. NovaReach may assist with mediation but is not obligated to resolve disputes or guarantee any outcome.

12. Disclaimers

  • The Platform is provided “as is” and “as available.”
  • NovaReach does not guarantee the quality, results, or timelines of any Freelancer’s work, or specific outcomes such as traffic, leads, sales, or rankings.
  • We do not guarantee uninterrupted or error-free access to the Platform.
  • While we may verify certain profiles, we do not endorse or guarantee any user’s identity, skills, or conduct.

13. Limitation of Liability

To the fullest extent permitted by law, NovaReach and its owners, directors, employees, and partners are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability for any claim shall not exceed the amount of fees you paid to NovaReach in the [3/6/12] months before the claim arose.

14. Indemnification

You agree to indemnify and hold harmless NovaReach from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your violation of any law or third-party rights.

15. Suspension and Termination
